KitSlate is a production-management platform developed and operated under Mixel × Vizzcast (“KitSlate,” “we,” “us”). These Terms & Conditions govern your use of the KitSlate website at https://kitslate.app, the demo sandbox, and the KitSlate application. By creating an account, entering the sandbox, or otherwise using KitSlate, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use KitSlate. If you use KitSlate on behalf of a business, you confirm you have authority to bind that business, and “you” includes it.
You need an account to store real work in KitSlate. You are responsible for what happens under your account and for keeping your sign-in credentials secure; tell us promptly at [email protected] if you believe your account has been compromised. You must be old enough to enter a contract where you live, and the information you register with must be accurate. The demo sandbox is open to everyone and holds sample data only — it is a playground, and nothing placed in it should be treated as stored.
A KitSlate account can operate one or more companies, each with its own branding, documents and settings, and can invite teammates into a workspace. The account owner controls the workspace: who is invited, what they can see, and when access ends. If you are invited into someone else’s workspace, the data in it belongs to that workspace’s owner, and your access continues at their discretion. You are responsible for ensuring the people you invite are entitled to see what you share with them.
KitSlate helps you plan productions and produce working documents — gear lists, call sheets, quotes, invoices and talent releases. These are tools and templates, not professional advice: the talent release, for example, is a general template, not legal advice for your jurisdiction or situation. You are responsible for the accuracy and appropriateness of every document you send, for the rates and amounts on your quotes and invoices, and for having a proper basis to share the personal details of crew and cast that you place on a call sheet.
Anything you put into KitSlate — equipment and inventory records, productions, clients, crew, documents, numbers — belongs to you. We claim no ownership of it. You grant us permission to store, process and sync your data only as far as needed to run the service for you. You can export your entire workspace to a single backup file, or export and import records as CSV and PDF, at any time, and we encourage you to keep your own backups.
The KitSlate market lets members list their own used gear and deal directly with buyers. It is free to list, and KitSlate takes no fee and no cut of sales. Because deals happen directly between buyer and seller:
KitSlate offers a free plan and paid subscription plans, billed as described on the pricing page. By subscribing you authorise recurring charges for your chosen plan until you cancel. You can cancel as described in the app; cancellation stops future charges and your plan runs to the end of the period already paid. Taxes may apply depending on where you are. We will give reasonable notice of any price change, and it will take effect at your next renewal, not mid-term. If a charge fails we may retry it and, after reasonable notice, downgrade or suspend paid features.
All card payments — subscription billing, and online invoice payments where an account has enabled them — are processed by Stripe. Your card details go directly to Stripe and never touch our servers. Payments made through Stripe are also subject to Stripe’s own terms and privacy policy. Where you connect a Stripe account to receive invoice payments from your own clients, that relationship is between you and Stripe, and you are responsible for your obligations under it.
You are responsible for: the lawfulness and accuracy of the content you store, publish and send through KitSlate; your invoicing, taxes and record-keeping obligations; obtaining any consents needed for the personal information you hold about clients, crew and cast; and keeping your own exports of anything you cannot afford to lose. KitSlate is a tool that helps you run your production business — it does not run it for you and does not take on your legal obligations.
The KitSlate name, brand, design and software are owned by us. We grant you a personal, limited, non-transferable, revocable licence to use KitSlate while you comply with these terms; anything not expressly granted stays with us. Your content remains yours (section 5). By publishing a profile or a marketplace listing you grant us the limited licence needed to display that content publicly on KitSlate, which ends when you unpublish or remove it.
Don’t misuse KitSlate. In particular, you must not:
Where KitSlate pools anonymised rate benchmarks, they are aggregated, historical information — not pricing advice, and not an agreement with anyone about what to charge. You set your own prices independently.
KitSlate is provided “as is” and “as available,” without warranties of any kind, to the fullest extent the law allows. We do not warrant that the service will be error-free or uninterrupted, and nothing in KitSlate — including rate benchmarks, generated documents, valuations or reports — is professional, financial, tax or legal advice. Third-party services you connect or use alongside KitSlate are governed by their own terms, and we are not responsible for them.
To the fullest extent the law allows, KitSlate, Mixel and Vizzcast will not be liable for indirect or consequential losses, or for lost data, profits or business — including losses arising from marketplace transactions between members. Our total liability for any claim is limited to what you paid us for the service in the 12 months before the claim (or, if you paid nothing, to a nominal amount). Some jurisdictions do not allow certain limits, in which case these apply as far as the law permits. Nothing in these terms excludes liability that cannot lawfully be excluded.
You can stop using KitSlate at any time and take your data with you; you can also ask us to delete your account as described in the Privacy Policy. We may suspend or terminate access if these terms are broken, if required for legal or security reasons, or if the service is discontinued — in which case we will give reasonable notice and a window to export your data wherever we lawfully can. Sections that by their nature should survive (ownership of your data, intellectual property, disclaimers, limitation of liability, governing law) survive termination.
We may update the service and these terms as KitSlate develops. If we make material changes we will update the date at the top and, where reasonable, let you know by email or a notice in the app before they take effect. Continuing to use KitSlate after a change means you accept it; if you do not accept a change, stop using the service and export your data.
These terms are governed by the laws of the jurisdiction in which the operating business is based, and any disputes will be handled by the courts of that jurisdiction, except where the law of your place of residence grants you mandatory protections and venue that cannot be waived.
